Purchaser acknowledges that certain items attempting to be purchased (the “Item(s)”) from Spiritus Systems Company (“Spiritus”) are subject to federal and state laws and regulations, including, but not limited to, the International Traffic in Arms Regulations (“ITAR”) and the Export Administration Regulations (“EAR”). As such, Spiritus must obtain certain information from Purchaser to comply with said laws and regulations.
Purchaser hereby certifies, represents and warrants that:
1. The End User of the Item(s) is the purchaser of the Item(s), whose full name and address shall be listed in the Checkout Page of this order.
2. The End User will only use the Item(s) for legal purpose(s).
3. The End User is legally allowed to own, possess and/or use the Item(s).
4. The End User does not reside in Connecticut or New York.
5. The End User will not use, transfer or export the Item(s) in any manner that violates federal or state laws or regulations.
Purchaser agrees to indemnify and hold Spiritus harmless from all damages, costs, fines, penalties, reasonable attorney fees, and all other expenses arising from a claim or demand from any governmental entity that alleges Spiritus failed to comply with federal and/or state laws and/or regulations pertaining to this transaction between Purchaser and Spiritus.
Spiritus reserves the right to cancel Purchaser’s transaction for any reason and at any time, even after payment has been made.
