Official Rules, Terms and Conditions
1. Introduction. By participating in the Contest, Participant agrees to abide by these Official Rules, Terms and Conditions. All decisions made by Spiritus Systems in respect to this Contest are final and binding in all respects.
2. DESCRIPTION OF CONTEST
a. Sponsor. Spiritus Systems Company, a North Carolina Corporation, is conducting this skill game contest. Spiritus Systems’ address is 112 Bud Place, Aberdeen, North Carolina 28315.
b. Time. The Contest shall run from 12:00 a.m. EST Friday 24 November 2023 through 11:59 p.m. EST Monday 27 November 2023.
c. The Contest.
i. Rules.
1. Prize Bundles, as identified in Section 5, will be eligible to be won by Participants at the Time of Prize Drop listed for each Prize Bundle in Section 5.
2. The first Participant who is a Qualifying Customer with a Qualifying Order for each Prize Bundle received through Spiritus Systems’ E-Commerce platform with the closest timestamp after the Time of Prize Drop will become the Potential Winner of the associated Prize Bundle.
3. Participants can place a Qualifying Order for each Prize Bundle, but can only be a Potential Winner of one Prize Bundle. Once a Participant becomes a Potential Winner of a Prize Bundle, such Participant will become disqualified from becoming a Potential Winner of any other Prize Bundle.
4. Spiritus Systems will be the judge for the Contest, and select the Potential Winners. For each Prize Bundle, Spiritus Systems will determine, by reviewing its E-Commerce platform, which Participant made a Qualifying Order with the closest timestamp after the Time of Prize Drop. Spiritus Systems’ servers with the E-Commerce platform are synced to GMT-5, with DST correction, with all time controlled according to NIST standards. Orders are filed chronologically and are tracked to the millisecond.
5. Each Prize Bundle will only have one Potential Winner. If a Potential Winner is disqualified for any reason or forfeits as described herein, the next Participant who is a Qualifying Customer with a Qualifying Order for the Prize Bundle received through Spiritus Systems’ E-Commerce platform with the closest timestamp after the Time of Prize Drop will become the Potential Winner of the associated Prize Bundle.
ii. Eligibility
1. The Contest is open solely to legal residents of the United States who are 21 years of age or older at the time the person’s Qualifying Order was placed. The Contest is not open to employees, agents, and representatives of Spiritus Systems and/or any company involved in providing prizes for or administering the contest, and individuals who live in the same household as these people. The Contest is not open and void where prohibited by law, including residents of Disqualifying States, and possession of prize in Participant's location, as applicable by State and Local Law. In addition to the Contest being void where prohibited by law, the Contest is void in the following states:
a. Arizona
b. Colorado
c. Connecticut
d. Florida
e. Illinois
f. Maryland
g. Nebraska
h. New Jersey
i. New York
j. North Dakota
k. Rhode Island
l. Vermont
m. Washington
2. A Qualifying Order is an order placed through Spiritus System’s E- Commerce platform that:
a. Is equal to or greater than $100.00 USD;
b. Uses the appropriate Promo Code for the Prize Bundle; and
c. Occurs after the Time of Prize Drop for the associated Prize Bundle.
3. DEFINITIONS
a. “Contest” refers to the skill game contest described in these Official Rules, Terms and Conditions.
b. “Disqualifying States” refers to those states specifically referenced in Section 2(c)(ii)(1), and all other states or territories where the Contest or possession of items in a Prize Bundle are void where prohibited by law.
c. “Participant” refers to those persons who participate in the Contest.
d. “Potential Winner” refers to those Participants who are judged by Spiritus Systems to be a potential winner of a certain Prize Bundle.
e. “Promo Code” refers to the specific code that must be entered with an order for the associated Prize Bundle.
f. “Prize Bundle” refers to the prizes available for the Contest, listed in Section 5.
g. “Qualifying Customer” refers to those persons who meet the conditions in Section 2(c)(ii)(1).
h. “Qualifying Order” is defined in Section 2(c)(ii)(2).
i. “Sponsor” or “Spiritus Systems” refers to Spiritus Systems Company, a North Carolina Corporation, whose address is 112 Bud Place, Aberdeen, North Carolina 28315.
j. “Time of Prize Drop” refers to the time and date which the associated Prize Bundle will go live for the Contest.
4. ODDS; NO GUARNTEE OF WINNING.
a. The odds of winning depend on the number of eligible entries received.
b. There is no guarantee or implication that any person, Qualifying Customer, or Participant will become a Potential Winner by placing an order, Qualifying Order, or participating in the Contest.
5. Prize Bundles.
a. Prize Bundles may not be transferred, assigned or substituted by Potential Winner.

c. Sponsor reserves the right to substitute any item in a Prize Bundle with an item of equal or greater value in the event that the listed item is not available.
d. Potential Winners are solely responsible for all applicable federal, state and local taxes.
6. NOTIFICATION OF POTENTIAL WINNERS. Potential Winners will be selected on Monday 27 November 2023 at 12:30 p.m. EST. Potential Winners will be notified via E-Mail correspondence through the E-Mail address provided in their order on Monday 27 November 2023 at 1:00 p.m. EST. Potential Winners may be required to correspondence with Spiritus Systems if the Prize Bundle requires additional verification or other logistical coordination, such as, but not limited to, proof of residency, age or identity. If Potential Winner's order meets all qualifications and upon Potential Winner’s completion of any additional verification required by Spiritus Systems, Potential Winner will be verified as Winner of the associated Prize Bundle. Potential Winner will forfeit their Prize Bundle if they (1) fail to respond to correspondence with seven days of being sent correspondence; (2) cannot be reached by the information provided; (3) rejects the Prize Bundle; or (4) is disqualified from the Contest for any other reason.
7. RESERVATION OF RIGHTS. Spiritus Systems has complete discretion and final decision-making power in selecting Potential Winners, and in determining eligibility, qualification, disqualification and forfeiture. Spiritus Systems reserves the exclusive power to interpret the rules, and all decisions regarding interpretation of rules are final binding on all Participants. Spiritus Systems reserves the right to modify the Potential Winner selection process in the case of a technical error, including, without limitation, the right to declare a Potential Winner ineligible, select alternate Potential Winners, and/or cancel the Prize Bundle and/or Contest. Spiritus Systems reserves the right to cancel, suspend and/or modify the Contest, or any part of it, if any fraud, technical failures or any other factor beyond Spiritus Systems’ reasonable control impairs the integrity or proper functioning of the Contest, as determined by Spiritus Systems in its sole discretion. Spiritus Systems reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be in violation of these Official Rules, Terms and Conditions or acts in an unsportsmanlike or disruptive manner.
8. WARRANTY. EXCEPT AS PROVIDED HEREIN, THE PRIZE IS PROVIDED ON AN "AS IS" BASIS, WITH ALL FAULTS, WITHOUT WARRANTY OF ANY KIND. SPIRITUS SYSTEMS EXPRESSLY DISCLAIMS AND EXCLUDES ALL OTHER WARRANTIES, WHETHER EXPRESSED, IMPLIED, STATUTORY OR OTHERWISE, REGARDING THE PRIZE, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND IMPLIED WARRANTIES ARISING FROM A COURSE OF DEALING OR COURSE OF PERFORMANCE OR USAGE OF TRADE. THERE ARE NO WARRANTIES WHICH EXTEND BEYOND THE DESCRIPTION OF THE FACE HEREOF. SPIRITUS SYSTEMS DOES NOT WARRANT THAT THE PRIZE WILL OPERATE UNINTERRUPTED OR BE ERROR-FREE, OR THAT ALL DEFECTS WILL BE CORRECTED.
9. LIMITATION OF LIABILITY AND INDEMNITY. SPIRITUS SYSTEMS SHALL NOT BE LIABLE UNDER ANY SECTION OF THIS AGREEMENT OR UNDER ANY CONTRACT, IN NEGLIGENCE, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND (INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REPUTATIONS), WHETHER OR NOT IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS IN ADVANCE. THIS EXCLUSION INCLUDES ANY LIABILITY THAT MAY ARISE OUT OF THIRD-PARTY CLAIMS AGAINST THE OTHER PARTY. IN NO EVENT WILL SPIRITUS SYSTEMS BE LIABLE FOR COSTS OF PROCUREMENT OF SUBSTITUTE GOODS BY PARTICIPANT. IN ADDITION, IN NO EVENT WHATSOEVER SHALL SPIRITUS SYSTEMS' TOTAL LIABILITY UNDER THIS AGREEMENT EXCEED THE AMOUNT ACTUALLY RECEIVED BY SPIRITUS SYSTEMS FROM PARTICIPANT FOR THE PRODUCT IN ITS QUALIFYING ORDER. BY ENTERING THE CONTEST, PARTICIPANTS AGREE TO INDEMNIFY SPIRITUS SYSTEMS, ITS EMPLOYEES, AGENTS, REPRESENTATIVES, ADVERTISING AND MARKETING VENDORS, ADVERTISING AND MARKETING PLATFORM HOSTS, AND PRIZE PROVIDERS AGAINST ANY CLAIM ARISING OUT OF THE CONTEST AND ANY CLAIM ARISING OUT OF USE OF THE PRIZING. SPIRITUS SYSTEMS IS NOT RESPONSIBLE FOR ANY TECHNICAL ERRORS IN THE WINNER-SELECTION PROCESS. SPIRITUS SYSTEMS IS NOT RESPONSIBLE FOR AND WILL VOID ENTRIES SUBMITTED BUT NOT RECEIVED FOR ANY REASON, INCLUDING BUT NOT LIMITED TO:
a. LOST ENTRIES;
b. LATE ENTRIES;
c. INCOMPLETE OR DAMAGES ENTRIES;
d. TECHNICAL ISSUES WITH THE ENTRY PROCESS;
e. UNAUTHORIZED OR FRAUDULENT INTERFERENCE WITH THE ENTRY PROCESS.
10. GOVERNING LAW AND JURISDICTION. This Agreement shall be governed by and construed in accordance with the laws of North Carolina and the parties hereby submit to the exclusive jurisdiction of the courts of North Carolina, with such venue exclusively is Moore County, North Carolina.
11. FORCE MAJEURE. Spiritus Systems shall not be liable for any delay or failure to perform any of its obligations if the delay or failure results from events or circumstances outside its reasonable control, including but not limited to acts of God, strikes, lock outs, accidents, war, fire, breakdown of plant or machinery or shortage or unavailability of raw materials from a natural source of supply, and Spiritus Systems shall be entitled to a reasonable extension of its obligations. If the delay persists for such a time as the Spiritus Systems considers unreasonable, it may, without liability on its part, terminate the Contest.
12. RETURN OF UNUSED GOODS. Spiritus Systems shall not take back goods that were manufactured by a party other than Spiritus Systems, whether defective or not. Products manufactured by outside suppliers and added to Spiritus Systems’ products or Prize Bundles are subject to any warranties of the outside supplier and not of Spiritus Systems. Such goods must be returned to the manufacturer and not Spiritus Systems. ALL GOODS ARE ON A FIRM SALE BASIS, I.E. SPIRITUS SYSTEMS WILL NOT TAKE BACK ANY GOODS GIVEN TO THE POTENTIAL WINNER AS A RESULT OF THIS CONTEST.
